Originally BitGo filed a lawsuit against Digital Galaxy in 2022 due to the alleged intentional violation of a merger agreement concluded in 2021. A payment of USD $1.2 billion was supposedly scheduled as part of the process, but this was not made due to the bearish conditions of the crypto market.
The crypto custody company was originally seeking $100 million in damages, but Digital Galaxy argued that BitGo was the cause of the breach of the investment contract, since it did not provide the necessary information in time to carry out the due process.
Although the defense of Digital Galaxy managed to validate last year before the responsible court that it had “valid bases” to withdraw from the purchase agreement BitGo by not receiving the requested documentation. However, the latter filed an appeal with which they managed to continue the case.
In this regard, the court indicated that “the definition of ‘financial statements’ in the merger agreement was ambiguous and that both parties ‘have offered reasonable interpretations’ of acceptable documentation,” therefore the ruling is revoked in favor of GalaxyDigital.
